TERMS OF SERVICE

OVERVIEW
Welcome to Mater Rosae! The terms “we”, “us” and “our” refer to Mater Rosae LLC (“Mater Rosae”). We operate this website and store, including all related information, content, features, tools, products and services (the “Services”). The Services are powered by Shopify.
By visiting, interacting with, or using the Services, you agree to be bound by these Terms of Service (the “Terms”) and our Privacy Policy. If you do not agree, do not use the Services.
1. ACCESS AND ACCOUNT
You represent that you are at least the age of majority in your jurisdiction, or you have consent from a parent/guardian to use the Services. You may be asked to provide accurate, current, and complete information (e.g., email, billing, payment, shipping). You are responsible for safeguarding your account credentials and all activity under your account. You may not transfer or assign your account.
2. OUR PRODUCTS
We aim to display products accurately, but colors and appearance can vary by piece. We do not warrant that products will meet your expectations or appear exactly as depicted. Descriptions, pricing, and availability may change without notice. We may limit quantities, cancel orders, or restrict sales per person, household, region, or country.
3. ORDERS
Your order is an offer to buy. We may accept or decline any order at our discretion. We must receive and process payment before acceptance. If we change or cancel an order, we will try to notify you using the contact details provided. Purchases are subject to our Refund Policy. You represent that purchases are for personal/household use and not for resale or export.
4. PRICES AND BILLING
Prices, discounts, and promotions may change without notice. The price charged will be the price in effect at the time of order. Prices generally exclude taxes, shipping, handling, customs, and import charges unless stated otherwise. You agree to provide current and accurate purchase and payment information and authorize us (and our payment processors) to charge your payment method for all amounts due.
5. SHIPPING AND DELIVERY
Delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, customs, or events outside our control. Title and risk of loss transfer to you upon delivery to the carrier. For pre-order items, dates are estimates and may change.
6. INTELLECTUAL PROPERTY
All content and materials on the Services (including trademarks, text, images, graphics, and design) are owned by Mater Rosae or its licensors and protected by law. You may use the Services for personal, non-commercial purposes only. No license is granted except as expressly provided. Mater Rosae, the Mater Rosae logo, and related marks are trademarks of Mater Rosae or its affiliates. Shopify’s marks are trademarks of Shopify Inc. All other marks belong to their owners.
7. OPTIONAL TOOLS
We may provide access to third-party tools “as is” and “as available” without warranties or endorsement. Your use is at your own risk and subject to the third party’s terms.
8. THIRD-PARTY LINKS
The Services may include links or embedded features from third parties. We are not responsible for third-party content or practices. Review third-party terms and policies before engaging in any transaction with them.
9. RELATIONSHIP WITH SHOPIFY
Mater Rosae is powered by Shopify, but sales are made directly with Mater Rosae. You acknowledge that Shopify is not responsible for any part of transactions between you and Mater Rosae and you release Shopify from claims arising from your purchases and use of the Services.
10. PRIVACY
Your use of the Services is subject to our Privacy Policy. Because the Services are hosted by Shopify, certain information may be processed by Shopify in accordance with Shopify’s privacy policy. See our Privacy Policy for details on how we and our partners process personal information.
11. FEEDBACK
If you submit feedback, reviews, ideas, or suggestions (“Feedback”), you grant Mater Rosae a perpetual, worldwide, royalty-free license to use and display that Feedback in any medium, subject to applicable law. You represent that you own or control the rights to your Feedback and it does not infringe third-party rights.
12. ERRORS AND OMISSIONS
From time to time, information on the Services may contain errors or omissions (e.g., descriptions, pricing, availability). We may correct or update information, or cancel orders, at any time without prior notice.
13. PROHIBITED USES
You agree not to use the Services for any unlawful purpose or in violation of these Terms, including (without limitation) to infringe intellectual-property rights, harass others, transmit malware, scrape data, or circumvent security. We may suspend or terminate access for violations.
14. TERMINATION
We may suspend or terminate your access to the Services at any time without notice. Sections intended to survive termination (including Intellectual Property, Feedback, Disclaimers, Limitation of Liability, Indemnification, Severability, Governing Law, and Contact) will continue to apply.
15. DISCLAIMER OF WARRANTIES
Except as expressly stated by Mater Rosae, the Services and all products are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. Some jurisdictions do not allow certain disclaimers, so parts may not apply to you.
16. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Mater Rosae and its affiliates, officers, employees, agents, contractors, and licensors (and Shopify and its affiliates) will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, savings, data, or replacement costs, arising from your use of the Services or products. Some jurisdictions limit such exclusions, so parts may not apply to you.
17. INDEMNIFICATION
You agree to indemnify and hold harmless Mater Rosae (and Shopify) and their affiliates, officers, directors, employees, and agents from claims arising out of your breach of these Terms or violation of law or third-party rights.
18. SEVERABILITY
If any provision is unlawful or unenforceable, the remainder remains in effect to the fullest extent permitted by law.
19. WAIVER; ENTIRE AGREEMENT
Our failure to enforce a right is not a waiver. These Terms and posted policies constitute the entire agreement between you and Mater Rosae with respect to the Services.
20. ASSIGNMENT
You may not assign these Terms without our prior written consent. We may assign or transfer these Terms at any time.
21. GOVERNING LAW
These Terms and any disputes shall be governed by the laws of the State of New York, without regard to conflict-of-law rules. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Albany County, New York.
22. HEADINGS
Headings are for convenience only and do not affect interpretation.
23. CHANGES TO TERMS
We may update these Terms from time to time. The latest version will be posted on this page with the “Last updated” date. Material changes will be communicated as required by law. Your continued use of the Services after changes become effective constitutes acceptance.
